These Terms of Service ("Terms") govern your use of the websites and products operated by Turnstone Tech LLC ("we," "us," or "our"), including turnstonetechsoftware.com and all related applications and services. By accessing or using our services, you agree to be bound by these Terms.

1. Eligibility and Geographic Scope

Our services are intended for users located in the United States. By using our services, you represent that you are located in the United States or are accessing the services in compliance with applicable local laws.

You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent or guardian's permission to use our services. Certain products may be used by minors in supervised settings (such as clinical or educational environments) under the responsibility of a supervising adult.

2. Account Registration and Security

Some of our products require you to create an account or be invited by an existing user. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials and authentication methods
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Some products are available by invitation only. Access to invite-only products is at our discretion.

3. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems, other users' accounts, or data you are not authorized to access
• Use our services to transmit spam, malware, or other harmful content
• Interfere with or disrupt the proper functioning of our services
• Reverse engineer, decompile, or attempt to extract source code from our products
• Use automated systems (bots, scrapers) to access our services without permission
• Resell, sublicense, or commercially exploit our services without authorization

4. Intellectual Property

All content, trademarks, and intellectual property on our websites and products are owned by Turnstone Tech LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

5. User Content

You retain ownership of content you create using our services (such as recipes, action plans, or other materials). By submitting content, you grant us a limited license to use, store, and display that content as necessary to provide the service to you.

Public Content

Some products allow you to make content publicly visible to other users (for example, setting a recipe to "Public"). By choosing to make content public, you grant Turnstone Tech a non-exclusive, royalty-free license to display, distribute, and make that content available to other users of the service. Content you keep private remains visible only to you and is not shared with other users.

You are responsible for ensuring you have the right to submit any content and that your content does not violate any third-party rights or applicable laws.

6. Local Data Storage

Some of our products store data locally on your device rather than on our servers. You are responsible for:

• Maintaining backups of locally stored data
• The security of your device and browser
• Understanding that clearing browser data may result in loss of locally stored information

We are not responsible for data loss resulting from device failure, browser data clearing, or other local storage issues.

7. Payments and Subscriptions

Certain products or features may require payment. By purchasing a subscription or making a payment:

• You agree to pay all applicable fees
• You authorize us to charge your payment method through our payment processor (Stripe)
• Subscriptions automatically renew unless canceled before the renewal date
• Refunds are handled on a case-by-case basis at our discretion

We reserve the right to change pricing with reasonable notice. Price changes will not affect current subscription periods.

8. Medical and Health Disclaimer

Our products are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Products related to health or well-being (such as wellness planning tools) are provided as informational and organizational aids only. They are not substitutes for professional medical advice, diagnosis, or treatment. Always seek the advice of qualified health providers with any questions regarding medical conditions.

Our products do not integrate with electronic health record (EHR) systems and are not intended to store or transmit protected health information (PHI) as defined by HIPAA.

Crisis and Emergency Services

Our products are not crisis intervention services. Features such as emergency contact reminders are organizational tools only—they do not actively monitor users, contact emergency services, or alert third parties on your behalf. If you or someone you know is experiencing a mental health crisis or emergency, please contact emergency services (911) or a crisis hotline such as the 988 Suicide and Crisis Lifeline immediately. Our products are not a substitute for professional crisis intervention.

9. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability. Our services are provided without a formal Service Level Agreement (SLA). We may:

• Perform maintenance that temporarily affects availability
• Modify, suspend, or discontinue features or products with reasonable notice
• Experience downtime due to factors beyond our control

10. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• Our services will meet your specific requirements
• Our services will be uninterrupted, timely, secure, or error-free
• Results obtained from using our services will be accurate or reliable
• Any errors in our services will be corrected

11. Limitation of Liability

To the fullest extent permitted by law, Turnstone Tech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:

• Your use of or inability to use our services
• Any unauthorized access to or alteration of your data
• Any third-party conduct or content on our services
• Any loss of locally stored data

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Turnstone Tech LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit through our services

13. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use our services ceases immediately
• We may delete your account and associated data after a reasonable retention period
• Provisions that by their nature should survive termination will remain in effect

You may terminate your account at any time by contacting us or using account settings where available.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Vermont, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Vermont, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. For material changes, we will provide additional notice (such as email notification for account holders).

Continued use of our services after changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Turnstone Tech LLC regarding your use of our services.
